Terms of Service
These Terms of Service ("Terms") govern your access to and use of the RevShare platform at revshare.to and app.revshare.to (the "Service"), operated by RevShare Labs, Inc. ("RevShare", "we", "us").
By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
1. The Service
RevShare provides software that connects to advertising and business accounts you authorize, retrieves performance data, and produces attribution and revenue-share reporting for the parties to your commercial arrangements. We may change, add, or remove features over time. We will not materially reduce core functionality without notice.
2. Accounts and eligibility
- You must be at least 18 years old and capable of forming a binding contract.
- You are responsible for the accuracy of the information in your account.
- You are responsible for safeguarding your credentials and for all activity under your account.
- Notify us promptly at security@revshare.to if you suspect unauthorized access.
3. Connected accounts and third-party platforms
The Service integrates with third-party platforms, including Meta Platforms, Inc. When you connect an account:
- You represent that you are authorized to grant access to that account and the data within it.
- You authorize RevShare to access, retrieve, and process data from that account as described in our Privacy Policy.
- Your use of the third-party platform remains governed by that platform's own terms. We are not responsible for third-party platforms, their availability, or changes they make to their APIs.
- You may disconnect a connected account at any time.
RevShare is an independent company. It is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
4. Acceptable use
You agree not to:
- Use the Service in violation of any law or the terms of any connected platform, including Meta's Platform Terms and Advertising Standards.
- Connect an account you do not own or lack authorization to access.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures.
- Use automated means to access the Service in a manner that degrades performance for others, or to circumvent rate limits.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted.
- Upload malicious code or use the Service to transmit unlawful, infringing, or deceptive content.
5. Your data
You retain all rights to the data you provide and the data retrieved from accounts you connect ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide and improve the Service and as permitted by our Privacy Policy. We do not sell Your Data.
6. Fees
Paid plans, if applicable to your account, are billed in advance on the cycle shown at purchase. Fees are non-refundable except where required by law or expressly stated. We may change pricing with at least 30 days' notice before the change applies to your next billing cycle. You are responsible for applicable taxes.
7. Intellectual property
The Service, including its software, design, and documentation, is owned by RevShare and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
8. Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each party agrees to protect the other's confidential information with at least reasonable care and to use it only as necessary to perform under these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that data retrieved from third-party platforms will be complete or accurate. Reporting produced by the Service is informational and should not be treated as accounting, tax, or legal advice.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. REVSHARE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless RevShare and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, or your breach of these Terms or of any third-party platform's terms.
12. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a security or legal risk. Where practical we will give notice and an opportunity to cure. On termination, your right to use the Service ends and we will delete or return Your Data as described in the Privacy Policy.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware. Nothing here prevents either party from seeking injunctive relief in any court of competent jurisdiction.
14. Changes to these Terms
We may update these Terms. If we make material changes, we will notify you by email or through the Service at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
15. General
These Terms, together with the Privacy Policy, are the entire agreement between you and RevShare regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
